1. Introduction

Planify ("Planify", "we", "us", "our") is a digital platform operated by Planify [Private] Limited, designed to connect individuals planning weddings or events ("Users") with registered service providers ("Partners") including venues, photographers, decorators, makeup artists, caterers, and other related services.

These Terms & Conditions ("Terms") govern access to and use of Planify's website, mobile applications, CRM tools, landing pages, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

• Users and Partners must be 18 years or older and legally capable of entering into binding agreements.
• If you are using the Platform on behalf of a business or entity, you confirm that you have authority to bind that entity.

3. Role of Planify

Planify is a technology and facilitation platform only.

• Planify does not provide wedding or event services itself.
• All services are provided directly by Partners.
• Planify does not guarantee the quality, performance, or delivery of any Partner's services.

4. Accounts & Registration

To use certain features, Users and Partners may be required to create an account.

You agree to:

• Provide accurate, complete, and up-to-date information.
• Maintain confidentiality of your login credentials.
• Be responsible for all activity conducted through your account.

Planify reserves the right to suspend or terminate accounts containing false or misleading information.

5. Partners & Business Model

Planify earns revenue only from Partners, not from Users.

Partner charges may include:

• Monthly subscription fees for use of Planify's CRM, platform tools, and customized landing pages.
• Commission per qualified lead or confirmed booking (rates may vary).
• Other service fees agreed separately with Partners.

All platform fees charged to Partners are non-refundable, unless expressly agreed otherwise in writing.

6. Bookings, Date Locking & Payments

6.1 Booking Requests

A booking request submitted by a User is an expression of intent only and does not constitute a confirmed booking unless accepted by the Partner and required payment is made.

6.2 Advance Payments & Date Locking

• Users may pay advance amounts either:
  • Directly to Planify, or
  • Directly to the Partner.
• If advance payment is made to Planify, Planify may lock the requested date on behalf of the User, subject to Partner availability.

6.3 Temporary Date Holds

• In certain cases, Planify may hold a date for up to two (2) hours without payment.
• Planify will call the User within twenty (20) minutes of booking to confirm the User's intent.
• If Planify finds the User lacking interest during the call, Planify reserves the right to cancel the date hold immediately.
• Planify also reserves the right to cancel the hold at its sole discretion if the User does not proceed within the specified time or appears uninterested.

6.4 Payment Responsibility

Planify accepts payments only into official bank accounts registered under the name Planify.

Planify is not responsible for:

• Payments sent to incorrect or unauthorized accounts.
• Payments made directly to Partners without confirmation.
• Loss resulting from User error in payment transfers.

7. Refunds & Cancellations

• Refunds related to services depend entirely on the Partner's individual policy.
• Platform service fees charged to Partners are non-refundable.
• Transactions cannot be reversed once processed unless required by applicable law.

8. Verified & Non-Verified Partners

8.1 Verified Partners

For Partners marked as Verified:

• Planify may manage or update content including images, descriptions, and availability.
• Planify makes reasonable efforts to ensure content accuracy as of the stated update date.

8.2 Non-Verified Partners

For non-verified Partners:

• Content is provided by the Partner "as is".
• Planify does not guarantee accuracy, availability, or pricing.

9. Responsibilities

9.1 User Responsibilities

Users agree to:

• Use the Platform lawfully.
• Conduct independent due diligence before confirming bookings.
• Communicate directly with Partners regarding service expectations.

9.2 Partner Responsibilities

Partners agree to:

• Provide accurate information.
• Deliver services as agreed with Users.
• Comply with all applicable laws in Pakistan.

10. Dispute Handling

• Planify may assist as a neutral facilitator in disputes between Users and Partners.
• Planify is not obligated to resolve disputes or provide compensation.
• Any dispute involving Planify shall be resolved through mutual arbitration in Karachi, Pakistan.

11. Intellectual Property

All content, software, trademarks, branding, CRM tools, and platform design are the intellectual property of Planify or its licensors.

You may not copy, reproduce, distribute, or misuse any Platform content without prior written permission.

12. Location & Platform Data

Planify may use IP-based or device-based location data to:

• Display nearby services.
• Improve service relevance and user experience.

13. Suspension & Termination

Planify may suspend or terminate access without notice if:

• These Terms are violated.
• Fraud or misuse is suspected.
• Legal or regulatory compliance requires it.

14. Limitation of Liability

To the maximum extent permitted by Pakistani law:

• Planify shall not be liable for indirect, incidental, or consequential damages.
• Planify's total liability shall not exceed the amount paid (if any) to Planify by the concerned party.

15. Amendments

Planify may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan.

Courts and arbitrators in Karachi, Pakistan shall have jurisdiction, subject to arbitration provisions.
